Terms of Service

1. Agreement to Terms

By creating an account or using bigtick.in, a service operated by Bracecodes Software Solutions Pvt Ltd ("BigTick", the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you (or the business you represent) and BigTick.

2. Eligibility

  • You must be at least 18 years old to use BigTick.
  • If you use BigTick on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.
  • You must have a legitimate WhatsApp Business Account and comply with WhatsApp Business Policy and Meta's Platform Terms.

3. Description of Service

BigTick is a multi-tenant SaaS platform that connects to the official WhatsApp Business Cloud API to allow businesses to:

  • Send bulk WhatsApp marketing campaigns to opted-in contacts
  • Manage contacts, groups, and tags
  • Create and submit message templates for Meta's approval
  • Receive and reply to inbound WhatsApp messages via an inbox
  • Track campaign delivery and message statuses

BigTick is a platform provider only. You are solely responsible for the content of your messages and the lawfulness of your campaigns.

4. Accounts

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately at support@bigtick.in if you suspect unauthorized access.
  • We reserve the right to suspend accounts that appear to be compromised or engaged in abuse.

5. Acceptable Use

You agree to use BigTick only for lawful purposes and in accordance with these Terms. You must not:

  • Send messages to contacts who have not provided consent in accordance with WhatsApp Business Policy and applicable law (including India's DPDP Act and TRAI regulations).
  • Send spam, unsolicited commercial messages, or messages containing misleading content.
  • Use BigTick for harassment, threats, illegal activity, or content that violates WhatsApp's or Meta's policies.
  • Attempt to access other tenants' data, circumvent security measures, or reverse-engineer the platform.
  • Use automated scripts to place an unreasonable load on our infrastructure.
  • Resell, sublicense, or provide API access to the Service without our written permission.
  • Upload or transmit malware, viruses, or any code designed to disrupt or damage systems.

Violation of the Acceptable Use Policy may result in immediate suspension or termination of your account.

6. WhatsApp & Meta Platform Compliance

BigTick operates using Meta's WhatsApp Business Cloud API. Your use of BigTick is therefore subject to:

Meta may suspend or revoke your WhatsApp Business Account independently of BigTick. We are not liable for any such action by Meta.

7. Billing & Payment

  • BigTick operates on a prepaid wallet model. You add credits to your wallet and are charged per message sent based on Meta's per-message pricing plus BigTick's service markup.
  • Wallet credits are non-refundable unless required by applicable law or explicitly agreed in writing.
  • We reserve the right to change our service markup with 30 days' notice via email or in-app notification.
  • You are responsible for all taxes applicable to your purchases under the laws of your jurisdiction.
  • BigTick does not guarantee delivery of messages; charges apply once messages are dispatched to the WhatsApp Cloud API regardless of delivery outcome.

8. Intellectual Property

BigTick and its associated marks, logos, and technology are owned by BigTick. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

You retain all rights to the content (messages, templates, contact data) you upload to BigTick. By uploading content, you grant BigTick a limited license to process and transmit that content solely to provide the Service.

9. Termination

  • You may close your account at any time by contacting support@bigtick.in.
  • We may suspend or terminate your access immediately and without notice if you violate these Terms, misuse the platform, or if required by law or Meta's policies.
  • On termination, your data will be deleted as described in our Privacy Policy.
  • Unused wallet balance at termination will be evaluated on a case-by-case basis; no automatic refund is guaranteed.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

BigTick does not warrant that the Service will be uninterrupted, error-free, or free of viruses. We do not guarantee message delivery rates or WhatsApp template approval outcomes.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIGTICK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BIGTICK IN THE 3 MONTHS PRECEDING THE CLAIM OR (B) INR 5,000.

12. Indemnification

You agree to indemnify, defend, and hold harmless BigTick and its officers, directors, employees, and agents from any claim, liability, damage, or expense (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including WhatsApp's or Meta's policies; or (d) the content of your messages or campaigns.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in India. Before initiating legal proceedings, the parties agree to attempt in good faith to resolve any dispute by informal negotiation for at least 30 days.

14. Changes to These Terms

We may update these Terms at any time. We will notify you of material changes by email or prominent in-app notice at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Miscellaneous

  • Entire agreement — These Terms, together with the Privacy Policy, constitute the entire agreement between you and BigTick.
  • Severability — If any provision is found unenforceable, the remaining provisions remain in full force.
  • No waiver — Failure to enforce any provision shall not be deemed a waiver of future enforcement.
  • Assignment — You may not assign your rights under these Terms without our written consent.
